Terms and conditions partner program

  1. Start, duration and termination of the agreement
    1. The partner agreement starts on the date on which the registration form is received by TriFact365
    2. After purchasing the seperate TriFact365 subscription (see article 10), the partner will receive a unique TriFact365 partner code.
    3. The term is for an indefinite period. There is no notice period.
    4. If one of the parties wishes to terminate the agreement, this will be made know by e-mail
    5. There is expressly no employment contract
  2. Registration of new customers
    1. After purchasing the separate TriFact365 subscription (see article 10), the partner will receive a unique TriFact365 partner code.
    2. When TriFact365 receives a new trial request with the partner code, this customer will be will be added to the Business Partner Agreement after purchasing the subscription.
    3. When TriFact365 receives a new trial request with the partner code, this customer will be will be added to the Business Partner Agreement after purchasing the subscription.
  3. Determining the periodic fee
    1. For the subscriptions (except API-subscriptions), TriFact365 will reimburse a fee under the following conditions.
    2. The fee is based on the revenue that TriFact365 invoices to the customers that are referred by the Business Partner.
    3. The fee is only calculated based on invoiced revenue that has already been paid by the referred customer.  If a customer pays later the revenu will be counted for the fee in the next period.
    4. The fee will be determined every six months. The first year this fee will be 50%. After the first year, the fee depends on the performance provided by the Business Partner.     5. The calculation for the pervious fee is performed quarterly by TriFact365. TriFact365 then sends a self-billing invoice tot he partner. TriFact uses a payment term of 30 days.
  4. Changing the agreement
    1. TriFact365 is entitled to change the content of the Partner Program including these terms and conditions, provided that the changes are announced to the Business Partner. These changes are also apply to existing agreements.
    2. Minor changes can be implemented at any time, without the right of the Business Partner to cancel the Partner agreement.
    3. If the Business Partner does not want to accept a change in these terms and conditions, he can end the agreement until the date at which the new terms and conditions come in effect. No reply after this date counts as acceptance of the changed or supplemented conditions
  5. Miscellaneous
    1. Support is provided by TriFact365. Exceptions to this are more complex issues surrounding accounting systems, for which TriFact365 cooperates with specialized third parties.
    2. Relevant price changes will be communicated to the partner at least 1 month in advance.
    3. The partner can exploit the relationship with TriFact365 by creating a page about TriFact365 on their website. TriFact365 will provide formal marketing material (logo etc.) for this purpose. The TriFact365 logo with a clickthrough to www.TriFact365.com is appreciated.
    4. The Business Partner also subscribes to the following social media channels of TriFact365

    5. The partner agreement is linked to a subscription of TriFact36according to the normal subscription conditions. This ensures the following points:
      • Mutual commitment
      • Source of information to keep informed
      • Support and sales purposes
